Agility Robotics Form S-4 Declared Effective by SEC Ahead of $620M SPAC Merger

ByMohammed Thaif

Agility Robotics, Inc. has announced that its joint registration statement on Form S-4 with Churchill Capital Corp XI (Nasdaq: CCXI) was declared effective by the SEC on October 13, 2026, marking a critical milestone toward completing their proposed business combination.

Churchill XI set an extraordinary general meeting date of November 2, 2026 for shareholders to vote on approving the merger. The transaction is expected to deliver more than $620 million in gross proceeds, comprising $424 million from Churchill XI's trust account and a $200 million common stock PIPE led by Foxconn.

Agility develops humanoid robots and physical AI systems that automate repetitive industrial workflows. The enterprise possesses extensive operational runtime across major customer facilities, including Schaeffler, GXO, and Toyota Motor Manufacturing Canada.

Prior generations of the Digit humanoid robot have logged over 65,000 operational hours, yielding physical AI training datasets. The newly introduced Digit 5 features cooperative safety design, allowing the system to work in immediate proximity to workforce personnel.

Supporting commercial expansion are Agility Arc, a cloud-based fleet operations system, and RoboFab, a dedicated manufacturing plant engineered to produce up to 10,000 humanoid units per year.

Agility approaches its public listing with strong momentum, citing over $300 million in committed orders for Digit 5 and a partnership with NVIDIA as the launch partner for the NVIDIA Halos physical AI safety platform.

Upon closing, the merged entity will operate as Agility and list on the Nasdaq Stock Market under the ticker symbol AGLT, forming the only U.S. publicly listed pure-play humanoid robotics company with commercial deployments.
